These Terms of Service govern your access to and use of Re-Doc, including our website, web application, APIs, document-processing tools, and related services.

Please read these Terms carefully before using Re-Doc.

By creating an account, accessing the Services, uploading a document, clicking "Process Document," purchasing a subscription, or otherwise using Re-Doc, you agree to these Terms.

Where you upload or process a document, your upload and processing activity may also be subject to a separate Upload Authorization checkbox, confirmation, or notice shown before processing begins.

If you are using Re-Doc on behalf of a company, organization, client, or other legal entity, you confirm that you have authority to bind that entity to these Terms. In that case, "you" and "Customer" refer to that entity.

If you do not agree to these Terms, you must not access or use the Services.

1. Who We Are

Re-Doc is operated by CypherLayer Technologies Private Limited, a company incorporated in India.

Re-Doc provides document redaction, anonymization, pseudonymization, replacement, document conversion, and related document-processing services.

2. Related Documents

Your use of Re-Doc is also governed by the following documents, where applicable:

  • ·Privacy Policy;
  • ·Subprocessor List;
  • ·Upload Authorization;
  • ·Cookie Policy, if applicable;
  • ·Data Processing Addendum, where applicable;
  • ·Order Form, invoice, subscription plan, or enterprise agreement, where applicable.

These documents are incorporated into these Terms by reference to the extent they apply to your use of the Services.

Where Re-Doc processes personal data on behalf of a business, enterprise, organization, or customer, Re-Doc's Data Processing Addendum applies unless a separate signed agreement provides otherwise.

If there is a conflict between these Terms and a signed enterprise agreement between you and Re-Doc, the signed enterprise agreement will control to the extent of that conflict.

If there is a conflict between these Terms and a Data Processing Addendum regarding the processing of personal data, the Data Processing Addendum will control for that data-processing issue.

3. The Services

Re-Doc is a document-processing platform designed to help users identify, redact, replace, anonymize, pseudonymize, transform, and generate documents while preserving the original structure and layout where supported.

Depending on the workflow selected, the Services may include:

  • ·document upload and temporary storage;
  • ·OCR and document extraction;
  • ·document layout analysis;
  • ·PDF to DOCX conversion;
  • ·DOCX to PDF conversion;
  • ·AI-assisted sensitive information detection;
  • ·redaction;
  • ·anonymization;
  • ·pseudonymization;
  • ·synthetic or replacement text generation;
  • ·processing reports;
  • ·output generation;
  • ·document download; and
  • ·related document-processing functions.

The availability and performance of specific features may depend on the file type, document quality, document structure, selected workflow, subscription plan, technical limitations, third-party providers, and usage limits.

Re-Doc may modify, improve, suspend, or discontinue parts of the Services from time to time.

4. Accounts and Authentication

To use certain features of Re-Doc, you must create or access an account.

Re-Doc currently supports authentication through Google Sign-In.

You are responsible for maintaining the security of your account and for all activity that occurs through your account.

You must ensure that the information associated with your account is accurate and kept up to date.

You must not:

  • ·share account access with unauthorized users;
  • ·use another person's account without permission;
  • ·attempt to bypass authentication controls;
  • ·impersonate another person or organization;
  • ·create accounts using false or misleading information; or
  • ·use Re-Doc in a way that compromises account or platform security.

You must notify Re-Doc promptly if you suspect unauthorized access to your account or any misuse of the Services.

5. Customer Authority to Upload Documents

You are responsible for ensuring that you have the necessary rights, permissions, consents, notices, approvals, legal bases, and authority to upload documents to Re-Doc and to have those documents processed through the Services.

If you upload documents on behalf of an organization, client, employer, customer, patient, data subject, data principal, legal entity, or other third party, you confirm that you are authorized to do so.

You must not upload documents to Re-Doc if you do not have the right or authority to process those documents using the Services.

You are responsible for ensuring that your use of Re-Doc complies with laws, regulations, contracts, confidentiality obligations, professional duties, court orders, client instructions, internal policies, and other obligations that apply to you or to the documents you upload.

Re-Doc is not responsible for verifying whether you have the legal right to upload or process a particular document.

6. Uploaded Content and Generated Outputs

For the purposes of these Terms, "Uploaded Content" means any document, file, text, image, data, instruction, configuration, or other content that you submit to Re-Doc for processing.

"Generated Output" means any redacted document, anonymized document, pseudonymized document, converted file, extracted text, replacement text, processing report, or other output generated by the Services.

You retain ownership of your Uploaded Content. Re-Doc does not claim ownership of the documents you upload or the Generated Outputs created for you through the Services.

You grant Re-Doc a limited, non-exclusive, worldwide license to host, copy, transmit, process, convert, analyze, transform, redact, anonymize, pseudonymize, generate, display, and make available your Uploaded Content and Generated Outputs solely as necessary to provide, secure, support, and operate the Services. This license exists only for the purpose of providing the Services and does not permit Re-Doc to sell your documents or use them for unrelated purposes.

You are responsible for:

  • ·the accuracy, legality, and quality of Uploaded Content;
  • ·ensuring that Uploaded Content does not violate applicable law or third-party rights;
  • ·selecting the appropriate processing workflow;
  • ·downloading and securely storing Generated Outputs;
  • ·reviewing Generated Outputs before use; and
  • ·determining whether Generated Outputs are suitable for your intended purpose.

Re-Doc may remove, restrict, suspend, or refuse to process Uploaded Content if we reasonably believe that the content or your use of the Services violates these Terms, applicable law, third-party rights, platform security, or acceptable use requirements.

7. AI-Assisted Processing and Output Review

Re-Doc may use AI-assisted processing to help identify, classify, redact, anonymize, pseudonymize, replace, or transform information in documents.

AI-assisted processing may include the use of AI language models, document intelligence tools, entity detection systems, OCR outputs, workflow instructions, prompts, and related processing components depending on the selected workflow.

AI-assisted processing may be used for tasks such as:

  • ·sensitive information detection;
  • ·contextual analysis;
  • ·entity identification;
  • ·document classification;
  • ·redaction support;
  • ·anonymization;
  • ·pseudonymization;
  • ·synthetic or replacement text generation;
  • ·output generation; and
  • ·processing recommendations.

You understand that AI-assisted systems may not be perfect. AI-assisted processing may produce incomplete, inaccurate, inconsistent, unexpected, or unsuitable results. It may fail to detect certain sensitive information, incorrectly identify non-sensitive information, alter meaning, produce formatting issues, or generate replacements that require human review.

You are responsible for reviewing all Generated Outputs before sharing, publishing, submitting, relying on, or using them in any legal, medical, financial, regulatory, professional, compliance, business, or operational workflow.

Re-Doc does not guarantee that any Generated Output:

  • ·removes all personal information;
  • ·removes all confidential information;
  • ·satisfies any particular legal or regulatory requirement;
  • ·meets court, professional, contractual, or industry standards;
  • ·is complete, accurate, or error-free;
  • ·is suitable for a particular use case; or
  • ·eliminates all risk of re-identification, disclosure, or misuse.

You should not rely on Re-Doc as a substitute for human review, legal review, compliance review, professional judgment, or internal approval processes where such review is required.

8. No Professional Advice

Re-Doc provides document-processing technology.

Re-Doc does not provide legal, medical, financial, tax, accounting, regulatory, compliance, professional, or risk-management advice.

Any information, suggestions, classifications, redactions, replacements, anonymizations, pseudonymizations, reports, or outputs generated through the Services are provided for document-processing purposes only.

You are responsible for obtaining professional advice where required.

Use of Re-Doc does not guarantee compliance with any law, regulation, contractual obligation, court order, disclosure rule, privacy framework, medical standard, financial requirement, professional duty, or industry policy.

9. Acceptable Use

You agree to use Re-Doc only for lawful, authorized, and appropriate purposes.

You must not use the Services to:

  • ·upload or process documents that you do not have authority to process;
  • ·upload or process children's personal data, minors' information, health information, financial information, identity documents, or other sensitive information unless you have the required authority, notices, consents, legal basis, and safeguards to do so;
  • ·violate privacy, confidentiality, intellectual property, contractual, or legal rights;
  • ·process documents for unlawful surveillance, harassment, discrimination, exploitation, fraud, impersonation, or identity theft;
  • ·attempt to recover, reverse, infer, or re-identify information that has been redacted, anonymized, or pseudonymized without lawful authority;
  • ·upload malicious files, malware, viruses, ransomware, spyware, or harmful code;
  • ·interfere with, disrupt, overload, or degrade the Services;
  • ·bypass usage limits, access controls, authentication systems, payment restrictions, or security measures;
  • ·scrape, copy, reverse engineer, probe, scan, or test the vulnerability of the Services without written authorization;
  • ·use the Services to build a competing product or service without permission;
  • ·misuse APIs, automation, or integrations in a way that harms Re-Doc, customers, subprocessors, or third parties;
  • ·upload content that is illegal, abusive, exploitative, or harmful;
  • ·use Re-Doc in a way that violates sanctions, export controls, or applicable trade restrictions; or
  • ·encourage, assist, or enable anyone else to do any of the above.

Re-Doc may investigate suspected violations of this section and may suspend, restrict, or terminate access to the Services where we reasonably believe misuse has occurred.

10. Subscriptions, Fees, Taxes, and Payments

Some Re-Doc features may be offered as paid subscriptions, usage-based plans, credit-based plans, enterprise plans, custom plans, or one-time purchases.

You agree to pay all fees associated with your selected plan, order, invoice, or subscription.

Fees may be based on factors such as:

  • ·number of users;
  • ·number of pages processed;
  • ·document volume;
  • ·storage or retention requirements;
  • ·selected features;
  • ·API usage;
  • ·enterprise support;
  • ·custom deployment or configuration; or
  • ·other usage limits described in the applicable plan.

Payments may be processed through third-party payment providers such as Razorpay, PayPal, or other supported providers. Re-Doc does not store complete credit card or debit card numbers on its own systems.

You are responsible for providing accurate billing information and ensuring that your payment method remains valid and authorized.

Unless otherwise stated in a written agreement:

  • ·fees are due according to the applicable invoice, plan, or checkout terms;
  • ·subscription fees may renew automatically;
  • ·usage-based charges may be billed according to actual usage;
  • ·taxes, duties, levies, or similar charges may be added where applicable;
  • ·failed payments may result in suspension or restriction of the Services;
  • ·fees are non-refundable except where required by law or expressly agreed in writing.

Re-Doc may update pricing, plans, usage limits, or billing methods from time to time. Where a pricing change affects an active paid subscription, Re-Doc will provide notice where required by applicable law, contract, or platform practice.

11. Free Trials, Credits, and Usage Limits

Re-Doc may offer free trials, free credits, promotional credits, experimental credits, beta access, limited-use features, or evaluation plans.

These offerings may be subject to limits, including:

  • ·page limits;
  • ·document size limits;
  • ·file type limits;
  • ·processing limits;
  • ·feature restrictions;
  • ·expiration dates;
  • ·account restrictions;
  • ·fair use limits; or
  • ·other conditions communicated at the time of offer.

Free trials, promotional credits, and experimental credits have no cash value and may not be transferred, resold, exchanged, or redeemed for money.

Re-Doc may modify, suspend, or end free trials, credits, beta access, or promotional offers at any time unless otherwise stated in a written agreement.

Re-Doc may restrict or suspend access if we reasonably believe that a user is abusing free trials, promotional credits, account creation, referral systems, or usage limits.

12. Data Handling and Privacy

Re-Doc's handling of account information, uploaded documents, generated outputs, metadata, logs, cookies, analytics information, and related information is described in our Privacy Policy.

By using the Services, you acknowledge that Re-Doc may collect, use, store, process, transmit, and delete information as described in the Privacy Policy.

Uploaded documents and generated outputs are retained according to the retention practices described in the Privacy Policy, unless a shorter retention period is agreed in writing or deletion is requested where supported. Unless deleted earlier or agreed otherwise, uploaded documents and generated outputs may be retained for up to 30 days.

Re-Doc does not use uploaded documents or generated outputs to train its own artificial intelligence or machine learning models.

Re-Doc does not sell uploaded documents, generated outputs, or customer information.

You are responsible for ensuring that your use of Re-Doc, including the upload and processing of documents containing personal, confidential, regulated, or third-party information, complies with laws, contracts, policies, consents, notices, and obligations that apply to you.

Where Re-Doc processes personal information or personal data on behalf of a customer, Re-Doc's Data Processing Addendum applies unless a separate signed data processing agreement, enterprise agreement, order form, or written amendment provides otherwise.

13. Subprocessors and Third-Party Services

Re-Doc uses third-party service providers and subprocessors to provide, secure, process, support, and improve the Services.

These providers may assist with functions such as:

  • ·cloud hosting;
  • ·authentication;
  • ·payment processing;
  • ·analytics;
  • ·OCR and document extraction;
  • ·document conversion;
  • ·AI-assisted document processing;
  • ·infrastructure operations;
  • ·security and reliability; and
  • ·customer support.

Some subprocessors may process uploaded documents, extracted text, generated outputs, filenames, document metadata, account information, billing information, logs, or analytics information where necessary to provide the selected workflow or operate the Services.

Not every document passes through every subprocessor. The subprocessors involved may depend on the file type, document structure, selected workflow, customer configuration, output format, subscription plan, technical requirements, and enterprise-specific settings.

Re-Doc's current main subprocessors are described in the Subprocessor List.

Where supported by the relevant provider and configuration, Re-Doc uses Zero Data Retention or similar provider-side settings for AI-assisted processing to limit retention of prompts, document content, extracted text, and model outputs.

You acknowledge that third-party services may be subject to their own terms, privacy notices, technical limitations, availability, data handling practices, and security measures.

Re-Doc is not responsible for third-party services except to the extent required by applicable law or expressly agreed in writing.

14. Security and Customer Responsibilities

Re-Doc takes reasonable technical and organizational measures designed to protect the Services, customer accounts, uploaded documents, generated outputs, and related information.

Security measures may include TLS-protected transmission, access controls, limited human access, operational safeguards, retention controls, subprocessor review, and incident response processes.

No online service, transmission method, hosting environment, or processing system can be guaranteed to be completely secure.

You are responsible for using the Services securely. You agree to:

  • ·maintain the security of your Google account or authentication method;
  • ·prevent unauthorized use of your Re-Doc account;
  • ·use secure devices and networks when uploading or downloading documents;
  • ·restrict access to generated outputs;
  • ·store downloaded documents securely;
  • ·delete documents and outputs when no longer needed;
  • ·review generated outputs before using or sharing them;
  • ·notify Re-Doc promptly if you suspect unauthorized access or misuse; and
  • ·comply with your own security, confidentiality, regulatory, and professional obligations.

Re-Doc is not responsible for loss, disclosure, misuse, or unauthorized access that occurs after a document or generated output is downloaded from the Services, except to the extent caused by Re-Doc's breach of these Terms or applicable law.

15. Intellectual Property

Re-Doc and its licensors own all rights, title, and interest in and to the Services, including the software, platform, user interface, workflows, designs, templates, documentation, technology, algorithms, models, prompts, system instructions, product names, trademarks, logos, and other materials provided by Re-Doc. These Terms do not transfer any ownership rights in the Services to you.

Subject to these Terms and your subscription plan, Re-Doc grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal purposes.

You must not:

  • ·copy, modify, distribute, sell, lease, sublicense, or exploit the Services except as permitted by these Terms;
  • ·reverse engineer, decompile, disassemble, or attempt to derive source code or underlying technology, except where permitted by law;
  • ·remove or alter Re-Doc branding, copyright notices, trademark notices, or proprietary notices;
  • ·use Re-Doc's name, trademarks, logos, or branding without written permission;
  • ·use the Services to build, train, benchmark, or improve a competing product or service without written permission;
  • ·access the Services to copy features, workflows, UI patterns, or functionality for competitive purposes; or
  • ·misuse Re-Doc's documentation, APIs, templates, outputs, or workflows in violation of these Terms.

You retain ownership of your Uploaded Content and Generated Outputs as described in Section 6.

Nothing in these Terms prevents Re-Doc from developing, improving, or offering features, products, workflows, tools, or services that are similar to or compete with products, services, or ideas developed by customers, provided Re-Doc does not use your confidential Uploaded Content in violation of these Terms.

16. Feedback

You may choose to provide Re-Doc with feedback, suggestions, ideas, requests, comments, improvements, feature recommendations, bug reports, or other input regarding the Services.

You agree that Re-Doc may use feedback without restriction or obligation to you, including to improve, modify, develop, commercialize, or market the Services.

You will not provide feedback that contains confidential information of third parties unless you have authority to do so.

Providing feedback does not give you any ownership rights in Re-Doc, the Services, or any improvements based on that feedback.

17. Third-Party Links, Services, and Integrations

The Services may contain links to third-party websites, services, applications, documentation, payment pages, authentication providers, or integrations that are not owned or controlled by Re-Doc.

Re-Doc is not responsible for the content, availability, accuracy, security, privacy practices, or terms of any third-party websites or services.

Your use of third-party services may be governed by separate terms and privacy policies provided by those third parties.

Re-Doc is not responsible for any loss, damage, disclosure, interruption, or issue caused by third-party services, except to the extent required by applicable law or expressly agreed in writing.

18. Service Availability and Changes

Re-Doc aims to provide reliable and secure Services, but we do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

The Services may be unavailable or affected due to:

  • ·scheduled maintenance;
  • ·emergency maintenance;
  • ·technical failures;
  • ·third-party provider outages;
  • ·network issues;
  • ·security incidents;
  • ·infrastructure changes;
  • ·usage spikes;
  • ·force majeure events;
  • ·legal or regulatory restrictions; or
  • ·circumstances beyond Re-Doc's reasonable control.

Re-Doc may modify, update, improve, suspend, restrict, discontinue, or replace any part of the Services from time to time.

Where a material change significantly affects an active paid subscription, Re-Doc will provide notice where reasonably practicable or where required by applicable law or contract.

19. Beta, Experimental, and Preview Features

Re-Doc may offer beta, preview, experimental, pilot, early-access, or limited-release features.

Such features may be provided for testing, evaluation, feedback, or early customer use.

Beta or experimental features may:

  • ·be incomplete;
  • ·contain errors;
  • ·produce inaccurate or inconsistent results;
  • ·change without notice;
  • ·be subject to additional usage limits;
  • ·be discontinued at any time;
  • ·have different data-handling or performance characteristics where disclosed; and
  • ·not be suitable for production, legal, regulatory, medical, financial, or high-risk use without independent review.

You use beta, experimental, preview, or pilot features at your own discretion and risk.

Re-Doc may remove or modify such features at any time.

20. Suspension and Termination

Re-Doc may suspend, restrict, or terminate your access to the Services if we reasonably believe that:

  • ·you have violated these Terms;
  • ·you have used the Services unlawfully or without authority;
  • ·your use creates security, legal, operational, reputational, or technical risk;
  • ·your payment is overdue or has failed;
  • ·you attempt to bypass usage limits, access controls, or payment requirements;
  • ·your account is used for fraud, abuse, spam, malware, or harmful activity;
  • ·your use may harm Re-Doc, customers, subprocessors, or third parties;
  • ·suspension is required by law, court order, regulator, payment provider, or infrastructure provider; or
  • ·continued access would create a material risk to the Services.

Where reasonably practicable, Re-Doc may provide notice before suspension or termination, but we may act without prior notice where urgent action is needed to protect the Services, customers, third parties, or Re-Doc.

You may stop using the Services at any time.

Termination or suspension does not relieve you of payment obligations incurred before termination.

After termination, Re-Doc may delete or disable access to Uploaded Content and Generated Outputs according to the retention practices described in the Privacy Policy, unless a separate written agreement provides otherwise.

Sections that by their nature should survive termination will continue to apply, including sections relating to ownership, payment obligations, disclaimers, limitation of liability, indemnity, confidentiality where applicable, data handling, governing law, and dispute resolution.

21. Disclaimers

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law.

Re-Doc does not warrant that the Services will be uninterrupted, secure, error-free, accurate, complete, or suitable for every use case.

Re-Doc does not warrant that any Generated Output will:

  • ·remove all personal information;
  • ·remove all confidential information;
  • ·identify every sensitive item;
  • ·satisfy any specific legal, regulatory, contractual, professional, medical, financial, or compliance requirement;
  • ·be accepted by any court, regulator, client, customer, authority, auditor, or third party;
  • ·preserve all formatting perfectly;
  • ·be free from errors, omissions, hallucinations, inconsistencies, or inaccuracies;
  • ·eliminate all risk of re-identification, disclosure, or misuse; or
  • ·be suitable for any particular purpose without human review.

Re-Doc does not provide legal, medical, financial, regulatory, compliance, tax, accounting, professional, or risk-management advice.

You are responsible for determining whether the Services and Generated Outputs are appropriate for your intended use.

Nothing in these Terms excludes warranties, rights, or remedies that cannot be excluded under applicable law.

22. Limitation of Liability

To the maximum extent permitted by applicable law, Re-Doc, its directors, officers, employees, contractors, affiliates, suppliers, and subprocessors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, loss of use, business interruption, reputational harm, or cost of substitute services.

To the maximum extent permitted by applicable law, Re-Doc's total aggregate liability arising out of or relating to the Services, these Terms, Uploaded Content, Generated Outputs, or any related claim will not exceed the amount paid by you to Re-Doc for the Services giving rise to the claim during the three months immediately preceding the event giving rise to liability.

If you used the Services without paying any fees, Re-Doc's total aggregate liability will be limited to the maximum extent permitted by applicable law.

The limitations in this section apply regardless of the legal theory of liability, whether based on contract, tort, negligence, strict liability, statute, equity, or otherwise, even if Re-Doc has been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, or any other liability that applicable law does not permit to be excluded or limited.

23. Indemnity

You agree to defend, indemnify, and hold harmless Re-Doc, CypherLayer Technologies Private Limited, and their directors, officers, employees, contractors, affiliates, suppliers, and subprocessors from and against any claims, damages, liabilities, losses, costs, expenses, penalties, fines, and fees, including reasonable legal fees, arising out of or related to:

  • ·your use of the Services;
  • ·your Uploaded Content;
  • ·your Generated Outputs;
  • ·your violation of these Terms;
  • ·your violation of applicable law;
  • ·your violation of third-party rights;
  • ·your failure to obtain required permissions, consents, notices, approvals, or legal bases;
  • ·your use of Re-Doc to process documents without authority;
  • ·your use, sharing, publication, submission, or reliance on Generated Outputs;
  • ·your misuse of the Services;
  • ·any claim that Uploaded Content infringes, violates, or misappropriates rights of a third party; or
  • ·any dispute between you and the individuals, organizations, clients, customers, patients, employees, data subjects, data principals, or third parties whose information appears in documents you upload.

Re-Doc may assume control of the defense of any claim subject to indemnification, and you agree to cooperate with Re-Doc in defending such claims.

You must not settle any claim in a way that imposes liability or obligations on Re-Doc without Re-Doc's prior written consent.

24. Governing Law and Dispute Resolution

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, Uploaded Content, Generated Outputs, or your use of Re-Doc, will be governed by the laws of India, without regard to conflict of law principles.

The parties agree to first attempt to resolve any dispute in good faith by contacting each other and providing a reasonable opportunity to respond.

If the dispute cannot be resolved informally, the competent courts at Haldwani, District Nainital, Uttarakhand, India, being the jurisdiction of Re-Doc's registered office, will have exclusive jurisdiction, provided that such courts have jurisdiction under applicable law.

Nothing in this section prevents either party from seeking urgent injunctive, equitable, or protective relief where necessary to protect confidential information, intellectual property, customer data, platform security, or the integrity of the Services.

Nothing in these Terms limits any rights, remedies, or forums that cannot be excluded or restricted under applicable law.

For enterprise customers, a separate order form, master services agreement, Data Processing Addendum, or enterprise agreement may specify different governing law, jurisdiction, arbitration, or dispute-resolution terms.

25. Changes to These Terms

Re-Doc may update these Terms from time to time to reflect changes in the Services, business operations, pricing, legal requirements, security practices, subprocessors, or product features.

When we update these Terms, we will revise the "Effective Date" at the top of the Terms.

26. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy, Upload Authorization, Subprocessor List, Cookie Policy where applicable, Data Processing Addendum where applicable, and any applicable order form, invoice, subscription plan, or enterprise agreement, form the agreement between you and Re-Doc regarding your use of the Services.

Order of Precedence

If there is a conflict between these Terms and a signed enterprise agreement, the signed enterprise agreement will control to the extent of the conflict.

If there is a conflict between these Terms and a Data Processing Addendum regarding personal data processing, the Data Processing Addendum will control for that data-processing issue.

Assignment

You may not assign or transfer these Terms or your rights under them without Re-Doc's prior written consent.

Re-Doc may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, change of control, corporate reorganization, or transfer of business operations.

Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining parts will remain in effect.

The invalid or unenforceable provision will be interpreted or replaced to the extent necessary to make it enforceable while preserving its original intent as closely as possible.

Waiver

A failure by Re-Doc to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Force Majeure

Re-Doc will not be responsible for delays, failures, or interruptions caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or hosting failures, third-party provider outages, cyberattacks, government action, legal restrictions, power failures, or other force majeure events.

Re-Doc may provide notices by email, through the Services, through account notifications, or by posting updates on the website.

You are responsible for keeping your account email address accurate and up to date.

Electronic Communications

You agree that communications, agreements, notices, disclosures, and other documents provided electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
